Mr. Alexandre Honore Marie Thiollier Neto is Managing Partner of Brookfield Private Equity in Brazil, responsible for the execution of transactions. Mr. Alexandre has nearly 20 years of experience in private equity, investment banking and strategic consulting. Prior to joining Brookfield in 2017, he worked for Cartesian Capital Group and Capital International Private Equity, both emerging markets private equity funds covering Latin America. He has also held positions at Bear Stearns in New York and at Spectrum Strategy Consultants in São Paulo, advising investors, companies and governments on asset acquisitions, divestitures and debt and equity financing. Mr. Alexandre holds a degree in Business Administration from the Pontifical Catholic University of São Paulo and an MBA from the Tuck School of Business at Dartmouth College.

Jorge Augusto Regis Gomes VP Operations

Mr. Jorge Augusto holds a degree in Civil Engineering from Faculdade Federal da Bahia (1998), with an extension course in Finance and Controllership from FIPECAFI (2007). He has served as Vice President of South and Southeast Operations at BRK Ambiental between 2017 and 2020, having under his responsibility more than 16 concessions. For 19 years he has worked on PPP’s, DBOT’s and EPC’s contracts in Engineering and Construction and real estate development in Brazil and Angola.

Felipe Cardoso de Gusmão Cunha VP Finance and Investors Relations

Mr. Felipe Cardoso de Gusmão Cunha holds a degree in Economics from PUC (Pontifical Catholic University-RJ), with a Master’s degree in Business Administration with emphasis in Finance from the same institution, in addition to specialization courses in national and international institutions. He has worked in M&A, Equity Research and Private Equity (Investments and Portfolio Management) activities for more than 20 years of career, in institutions such as Votorantim and Brookfield. He is currently the Company’s Chief Financial Officer (as of September, 2022).

Daniela Mattos Sandoval Coli VP Corporate Matters and Regulatory

Mrs. Daniela Mattos Sandoval Coli holds a Law degree from USP (University of São Paulo) with a master’s degree from the New York University School of Law focused in Corporate Finance and Capital Markets. She also has a specialization in the Energy Sector from ABCE (Brazilian Association of Electricity) and has credentials in administration (CORe by HBX from Harvard Business School) and a certification in Compliance (CCEP – Certified Compliance and Ethics Professional). Mrs. Daniela held positions at Suzano, AES Brasil and BP until 2018, when she started working at the Company.

Ramon Sanches Silva VP Business Development

Mr. Ramon has over twenty years of experience in strategic planning and new business development. He holds a degree in Economics from Fundação Santo André/Faculty of Administration, Economics and Accounting – FSA/FAECO, a specialization in People and Human Resources Development from Fundação Instituto de Administração FIA and an MBA in Business Administration from Fundação Getúlio Vargas – FGV.

Board of Directors

Its Board of Directors is responsible for the Company‘s political and strategic decisions. The entity is responsible for directing, evaluating and accompanying performance and the goals set by the company and by its top management entities. BRK By-Laws and Shareholders‘ Agreement define and establish the guidelines and duties of the Board. The same Shareholders‘ Agreement also includes mechanisms that guarantee transparency and equal treatment among shareholders, such as the disclosure and reporting of information and the guarantee that minority shareholders can enforce certain vetoes, such as approving operations with related parties, among others.

The Board consists of seven members who are nominated by Shareholders during the General Shareholders‘ Meeting. The board members are chosen based on their qualifications, experience and alignment with the Company‘s values. The members serve a two-year term and may be re-elected.

Mr. Luiz Ildefonso Simões Lopes is a member of the Board of Directors of the Brazilian Symphony Orchestra and the Brazil-Canada Chamber of Commerce. He is also a member of the International Advisory Board of Fundação Dom Cabral, a world-renowned executive education center and member of the Board of Trustees of Fundação Getúlio Vargas, a leading academic and research center. Both organizations are in Brazil. He holds a degree in business administration from Faculdade Moraes Júnior and a specialization in Capital Markets from Fundação Getúlio Vargas (FGV). He is Senior Managing Partner at Brookfield Asset Management Inc. and is currently the Vice Chairman of Brookfield Brasil, having held the position of CEO of Brookfield Brasil from October 2007 to December 2017, as well as other senior management positions in that period. He was also President and CEO of Banco Brascan S.A. (currently BRKB Distribuidora de Títulos e Valores Mobiliários S.A.). Prior to joing the Brookfield Group, he was a Director of NATIVA Construções Elétricas S.A, and Liberal CCTVM, Superintendent Director and member of the Board of Directors of Magliano S.A CCVM, and Director of Banco FIAT and FIAT Leasing S.A. He was a member of the Business Council of UERJ and member of the Board of Directors of the Rio de Janeiro Stock Exchange.

Mr. Henrique Carsalade Martins is Managing Partner of Brookfield Asset Management and CEO of Brookfield in Brazil since January 2018, being responsible for direct supervision of growth, operations and the definition and monitoring of the company’s investment strategies in the country. He has over 20 years of experience in the power generation industry and in M&A. He joined Brookfield Energia in 2009 and since then has held different leadership roles, including Senior Vice President of M&A, COO and CEO for Latin America. In 2017, while being CEO of the energy business, he began as COO of Brookfield in Brazil. Before joining Brookfield, he was Senior Manager at Companhia Siderúrgica Nacional (CSN), where he participated in several M&A operations. He has also served on several boards of directors and is currently a member of the Board of BRK, Arteris and Tegra. He holds a degree in Economics from PUC-Rio and an MBA from the University of Michigan, in the United States.

Mr. Rafael Thor de Moura Rebelo Rocha holds a law degree from the State University of Rio de Janeiro – UERJ and an LL.M from The University of Chicago Law School. He worked for nine years at the U.S. law firm Debevoise & Plimpton LLP in New York and at Mattos Filho Advogados in Rio de Janeiro. He joined Brookfield in March 2020.

Serge Toppjian Camila Siqueira de Souza 04/20/2023 OGM 2025

Serge Toppjian is Head of Investments in Brookfield’s Private Equity group, having joined the company in 2013. He has worked directly on several investments in Brazil, including BRK Ambiental, VLI and Unidas (formerly Ouro Verde). Serge has already performed executive functions in the group’s investees on an interim basis and currently participates actively in the Board of Directors of Unidas. Previously, Serge served as an investment professional at I Squared Capital, a global private equity fund focused on Infrastructure. Serge is an economist, graduated magna cum laude from the University of Toronto, and a CFA Charterholder.

Sergio Henrique Oliveira Bini Leonardo Groba Mendes 05/10/2023 OGM 2025

Mr. Sergio Bini is a career employee at Caixa Econômica Federal (“CEF”), and has served during his career as National Manager, National Superintendent and Executive Director of third-party asset management, working in the areas of structuring, distribution and management of investment funds. He has also served as Director of Planejar – Brazilian Association of Financial Planners and as a member of several fund committees of ANBIMA, representing CEF. He has more than 20 years of experience in the financial market, including 14 years in leadership positions in the investment funds area (Asset Management). He is currently Vice-President of Investment Funds at CEF. He has a master’s degree in Economics with an emphasis on behavioral finance and a Master’s in Business Economics, both from FGV, a postgraduate degree in finance from Fundação Dom Cabral and a degree in Business Administration from UFMG. He is also a portfolio and securities manager authorized by the CVM since 2016, and holds a Directors’ certification by the IBGC since 2017, as well as an ANBIMA Manager’s certification (CGA) since 2016 and Certified Financial Planner – CFP since 2013. He works as a professor of finance at FK Partners.

João Paulo Vargas da Silveira Juliano Fernandes Bourim 08/17/2023 OGM 2025

Mr. João Paulo holds a postgraduate degree in Business Economics and a degree in Economic Sciences, both from the Federal University of Rio Grande do Sul (UFRGS). He has the AMBIMA Managers certification (CGA/CGE) and Certified Financial Planner – CFP® since 2021. He has been a career employee at CAIXA for over 22 years and during his career, has held several positions such as Executive Manager, National Manager and National Superintendent, working in the areas of structuring, distribution and management of investment funds, capital markets and operation of the Guarantee Fund. He is currently Executive Director of Caixa Econômica Federal.

Committes

Two committees assist the Board of Directors with their decision-making processes, helping improve the assertiveness and efficiency of the management process. The Finance and Investment Committee and People and Organization Committee. Each committee consists of up to seven members.

The Finance and Investment Committee evaluates investments and other financial matters. Its reports are subject to the approval of the Board of Directors.

The People and Organization Committee evaluates the current policies and programs, and monitors and reviews the issues related to People and Organization management.

Jorge Luiz Teixeira Tauile

Mr. Jorge Luiz Teixeira Tauile is Vice President of Business Operations at Brookfield’s Global Private Equity unit. Jorge is focused on the portfolio management activity of Brookfield’s investees, including BRK Ambiental and Ouro Verde. Jorge worked in the Compliance and Operational Risk department at Banco Brascan and later in the Asset Management sector at Brookfield. As an equity analyst, he worked in the modeling and analysis of public companies, in addition to managing the funds’ stock portfolio. As VP of Private Equity of the group, he was part of the acquisition team of BRK Ambiental in 2017, part of the acquisition team of Westinghouse in 2018 and led the process of acquiring the Maceió concession via auction in 2020. More recently, in 2022, he made part of the acquisition team of Unidas’ assets by Ouro Verde. Jorge is a Production Engineer from PUC-Rio (2009) and holds the title of CFA Level II.

Camila Siqueira de Souza

Mrs. Camila Siqueira de Souza joined the Brookfield Group in 2008 and has 12 years of experience in the areas of Private Equity, M&A and investments. She participated in transactions and investment opportunities in various sectors of the economy such as equipment rental, sanitation, sugar and alcohol, fuel distribution, pulp, animal protein, technology services, among others. Currently, Camila is part of the Private Equity Portfolio Management team, being responsible for monitoring the investees, working on the support and relationship with the management of the companies, implementation and improvement of corporate governance, advising the committees and boards of management of Ouro Verde and BRK Ambiental, as well as participating in their meetings, monitoring of strategic initiatives to create value and operational improvements, monitoring of the Business Plan and strategic development, evaluation of opportunities in the capital market (debt and equity) and M&A opportunities.

Guilherme Ribeiro de Oliveira

Mr. Guilherme Ribeiro de Oliveira has 20 years of experience in the Financial Market, having participated in the recovery plan for loss-making branches, the creation of a Joint Venture together with an IT multinational (M&A), developed an valuation to support impairment tests of the shares of the bank in the securities portfolio, implemented funding controls and improved the bank’s asset and liability allocation (A&LM) map, led the team that manages FGTS assets invested in fixed income and market in the order of R$ 150 billion, acted as Senior Consultant linked directly to the Vice President of Investment Funds at CEF and currently leads the management team of the FI-FGTS and the FGTS Managed Portfolio, which together have assets of around R$ 30 billion. He joined CEF in August 2005. He holds a degree in Economic Sciences from UFJF, an MBA in Business Management and Business Strategy from FGV and an MBA in Global Broker from IBMEC.

Paulo Cesar Carvalho Garcia

Mr. Paulo Cesar Carvalho Garcia has been Legal Director at Brookfield Brasil since January 2005. He is responsible for the execution of various businesses and operations in Brazil, as well as leading the group’s Compliance area in Brazil since August 2013. Prior to joining Brookfield Brasil, Paulo was Legal Director and Legal Superintendent at several companies including AMBEV, REXAM and CSN. Paulo also worked as a corporate and M&A attorney at Pinheiro Neto Advogados. He also participated in the Advanced Management Program of Fundação Dom Cabral/INSEAD in 2006 and holds a postgraduate degree in Business Law from the Pontifical Catholic University of Rio de Janeiro – PUC-Rio (1995) and completed his degree in Law from PUC in 1990.

Eduardo Alves de Oliveira

Mr. Eduardo Alves de Oliveira joined Caixa Econômica Federal in January 2012, having worked in several areas, such as at GN Controle Institucional Conglomerado (Institutional Control), FUNCEF and SN Risco de Crédito (Credit Kisk), and currently leads the Clients and Business area at GN Gestão de Fundos Estruturados (Strutctured Funds). He served as Operations Supervisor at Empresa Brasileira de Correios e Telégrafos between 2008 and 2012. He served as a member of the Investment Technical Advisory Committee of FUNCEF between 2018 and 2019. He also worked as a member of the Financial, Capex and Audit Committees of VLI Logística S.A. between 2020 and 2021. He holds a degree in Business Administration from Centro Universitário Estácio / Facitec, an MBA in Administration and Finance from Centro Universitário Internacional and an MBA in Banking and Currencies from UNEPOS.
